1. Introduction

These Terms of Service govern your use of the educational products, services, and platform operated by ApexSkills Academy Pvt. Ltd. By accessing our platform, registering an account, or purchasing a course, you agree to these terms. If you do not agree with any part of these terms, you may not use our platform.

2. Definitions

• Platform: The ApexSkills Academy website and associated digital infrastructure.
• Company: ApexSkills Academy Pvt. Ltd.
• User: Any individual who creates an account or accesses the platform.
• Course: Digital educational content, including videos, text, and assessments.
• Content: All text, graphics, videos, and materials provided by the Company.
• Account: A registered profile granting a User access to the Platform.
• Certificate: A digital document awarded upon meeting the required assessment criteria for a Course.
• Reseller Store: A custom storefront on an ApexSkills subdomain operated by an independent reseller.

3. Eligibility

You must be at least 18 years old to create an account and purchase courses. You must provide a valid email address. Certain features, such as the Affiliate and Reseller programs, are restricted to individuals domiciled in India.

4. Account Registration & Security

You agree to provide accurate, current, and complete information during registration. You are responsible for safeguarding your password and for all activities under your account. You may only register one account per person. Sharing credentials with others is strictly prohibited.

5. Platform Services

ApexSkills Academy provides access to digital vocational courses, assessments, certificates, and optional marketing tools. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice.

6. Course Access Duration & Entitlements

Courses on ApexSkills are granted for a defined access period (e.g., 30 days, 365 days) configured at the time of enrollment or purchase. During this active period, you receive a personal, non-exclusive, non-transferable license to stream lessons, access resources, and submit assessments. Upon access expiration, course content access is locked, but your historical learning records, quiz scores, project submissions, completion status, and issued certificates remain permanently preserved in your student account. Access renewal may be purchased where enabled for a course.

7. Intellectual Property

All course materials, including videos, text, and graphics, are the exclusive property of ApexSkills Academy Pvt. Ltd. You may not download, record, distribute, reproduce, or create derivative works from any part of our platform or course content.

8. Assessments & Certificates

Certificates are awarded to Users who complete a course and achieve a minimum score of 70% on the final assessment. The Company reserves the right to withhold or revoke a Certificate if we detect academic dishonesty, identity fraud, or unauthorized assistance.

9. Pricing & Payments

All course and service prices are listed in Indian Rupees (INR) and include applicable Goods and Services Tax (GST). Payments are processed through our authorized payment processor. We do not store your full credit card or banking details on our servers.

10. Refund Policy

We offer refunds under specific conditions. You may request a refund within 3 days of purchase, provided you have viewed or completed 15% or less of the course material. For complete details, please see our Refund Policy.

11. User Conduct

You agree to use the platform only for lawful purposes. You must not attempt to compromise the platform's security, scrape data, share account credentials, cheat on assessments, or harass other users or Company staff. Violations will result in immediate account termination.

12. Affiliate Program

Users may participate in our Affiliate Program as independent contractors to earn commissions on direct course sales. The program operates on a flat commission structure, and multi-level marketing (MLM) structures are prohibited. For complete rules and commission tiers, review the Affiliate Terms.

13. Reseller Program

The Reseller Program allows approved individuals to operate a custom storefront on an ApexSkills subdomain. Resellers act as independent business operators subject to specific platform, gateway, and setup fees. The detailed agreement is available in our Reseller Terms.

14. Third-Party Services

Our platform relies on third-party service providers for hosting, video delivery, and payment processing. We are not responsible for outages, errors, or data breaches occurring on these third-party systems.

15. Privacy

Your personal data is handled according to our Privacy Policy. By using our platform, you consent to the collection and use of your information as described in that document.

16. Suspension & Termination

We may suspend or terminate your account without prior notice if you breach these terms, engage in fraudulent activity, or fail to pay fees. Termination results in the immediate loss of access to all courses, certificates, and affiliate/reseller features without a refund.

17. Disclaimers

ApexSkills Academy provides vocational education. We do not guarantee any specific career outcomes, employment opportunities, or income levels as a result of completing our courses. The platform and its contents are provided "as is" without any warranties.

18. Limitation of Liability

To the maximum extent permitted by law, ApexSkills Academy Pvt. Ltd. shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability for any claim shall not exceed the amount you paid us for the specific course or service in question.

19. Indemnification

You agree to indemnify and hold harmless ApexSkills Academy Pvt. Ltd., its directors, employees, and agents from any claims, damages, or expenses arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

20. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any legal action or proceeding relating to your access to, or use of, the platform shall be instituted exclusively in the courts of Bengaluru, Karnataka, India.

21. Dispute Resolution

In the event of a dispute, you agree to first attempt to resolve the issue informally by contacting us. If the dispute cannot be resolved informally within 30 days, either party may initiate formal legal proceedings in the designated jurisdiction.

22. Changes to Terms

We reserve the right to update or modify these terms at any time. We will indicate the effective date of the latest version at the top of this page. Your continued use of the platform after any changes constitutes your acceptance of the revised terms.

23. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

24. Entire Agreement

These Terms of Service, along with our Privacy Policy, Refund Policy, and any applicable program-specific terms, constitute the entire agreement between you and ApexSkills Academy Pvt. Ltd. regarding your use of the platform.
